1. Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you and Pixly (operated by Ali Noureddine, "we", "our", "us") and govern your access to and use of the Pixly mobile application, websites, and any related services (collectively, the "Service"). By downloading, installing or using the Service you confirm that you have read, understood and agree to be bound by these Terms.
2. Eligibility
You must be at least 13 years old (or the minimum age required in your country) to use the Service. If you are under the age of majority where you live, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.
3. License to use the app
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, for your personal, non-commercial use only. The Service does not require a user account; access is tied to your device.
4. User content
The Service lets you upload photos and other content ("User Content"). You retain all rights in your User Content. You grant us a limited, worldwide, royalty-free license to host, transmit, and process your User Content solely for the purpose of operating and providing the Service to you (for example, running the AI enhancement you request and returning the result to your device).
You represent and warrant that (a) you own or have the necessary rights to your User Content; and (b) your User Content does not violate these Terms, applicable law, or the rights of any third party (including privacy, publicity, and intellectual property rights).
We do not use your User Content to train AI models. As described in our Privacy Policy, uploaded photos and AI outputs are automatically deleted from our servers within 15 minutes of the job finishing.
5. Acceptable use
You agree not to use the Service to:
- Upload content that is unlawful, infringing, defamatory, or invasive of privacy.
- Generate or share sexual content involving minors, or non-consensual intimate imagery.
- Generate content that is intended to deceive, defraud, harass, or harm any person, including non-consensual deepfakes or impersonation.
- Impersonate another person or misrepresent your identity or affiliation.
- Upload a photo of another identifiable person without their permission.
- Attempt to reverse engineer, decompile, or extract the underlying models or source code.
- Interfere with, overload or disrupt the Service or any servers or networks connected to it.
- Use automated means (bots, scrapers, etc.) to access the Service without our written permission.
We may remove content that violates these Terms and may restrict or terminate access for users who violate them.
6. AI processing
When you select a tool (Colorize, Enhance, Deblur, Retouch, Relight, Makeup, or a generative edit), the photo you choose is uploaded over an encrypted HTTPS connection to our servers and processed by our AI models. The generated result is returned to your device.
AI outputs are produced by machine-learning models and may not be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing AI outputs before relying on them for any decision, publication, or other use.
7. Subscriptions & payments
Certain features of the Service require a paid auto-renewable subscription. Subscriptions are sold and billed through the relevant app store (Apple App Store or Google Play). The full title, duration, and price of each subscription are shown in the app at the time of purchase.
- Auto-renewal: subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the current period.
- Payment: payment is charged to your Apple ID or Google Play account at confirmation of purchase, and again at each renewal.
- Manage or cancel: you can manage or cancel subscriptions at any time in your Apple ID settings (iOS) or Google Play account settings (Android). Uninstalling the app does not cancel a subscription.
- Free trials and introductory offers: if a free trial or introductory price is offered, the trial or introductory period is converted to a paid subscription automatically unless you cancel before it ends. Any unused portion of a free trial is forfeited when you purchase a subscription.
- Refunds: refund requests are handled by Apple or Google according to their respective policies. We are not able to issue refunds directly for app store purchases.
- Price changes: if we change the subscription price, the change will only apply to renewals after we notify you and, where required, obtain your consent.
Apple's standard EULA additionally applies to subscriptions purchased through the App Store and is available at apple.com/legal/internet-services/itunes/dev/stdeula.
8. Intellectual property
The Service, including its software, AI models, user interface, designs, logos and trademarks, is owned by us or our licensors and is protected by copyright, trademark and other laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell or lease any part of the Service.
9. Third-party services
The Service relies on a small number of infrastructure providers to operate, including Google Firebase and Google Cloud (hosting, anonymous device identifier, analytics, crash reporting), the Apple App Store and Google Play (in-app purchases and subscriptions), RevenueCat (subscription receipt validation), and AppsFlyer (install attribution and marketing analytics, subject to your tracking choices). Your use of those features may be subject to the third party's own terms and privacy policies, which we encourage you to review. We do not share your photos with any third-party AI provider.
10. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. We disclaim, to the maximum extent permitted by law, all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the AI outputs will be accurate, error-free, or suitable for any particular use.
11. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or in connection with your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the event giving rise to the claim, or (b) USD 50.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we believe it is necessary to protect the Service or other users. You may stop using the Service at any time by uninstalling the app and cancelling any active subscriptions through your app store.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice in the app. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Pixly is established, without regard to its conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory local law gives you the right to bring proceedings elsewhere.
